Umowa spółki and the KRS
A Polish company is constituted by umowa spółki — for a spółka z ograniczoną odpowiedzialnością normally before a notary, though the S24 electronic route allows a standard-form deed without one — and entered in the KRS, the National Court Register.
The odpis z KRS is the register extract, and it comes in two forms: aktualny showing the current state, and pełny showing every entry ever made. Which one an office wants is worth asking, because the full one is considerably longer and you pay by the page.
KRS, NIP and REGON
Polish companies carry three identifiers: the KRS number from the court register, the NIP tax number, and the REGON statistical number. They appear together on corporate documents and foreign readers routinely record the wrong one.
Each is reproduced exactly and labelled as the document labels it.
Representation, and who signs
The KRS entry states the management board and the manner of representation — whether one board member acts alone or two must act jointly, or a board member together with a prokurent. A prokura is a statutory commercial power of attorney with a scope fixed by law, which is not the same as an ordinary power of attorney and is not an officer role.
That clause is translated precisely. A jointly-required signature given alone binds nothing, and a prokurent rendered as "authorised officer" misstates what they can do.
Diacritics, and the amendments
Polish uses ą, ć, ę, ł, ń, ó, ś, ź and ż, and stripping them changes company and personal names. We reproduce them and note a genuine difference from a passport or a foreign record.
The articles are amended by notarial deed and the amendment registered, so the current text is the original plus every amendment — a tekst jednolity, a consolidated text, may exist and is the document to translate if it does. See our Polish page.
