The Registro Mercantil, and publication
A Venezuelan company is constituted by documento constitutivo estatutario presented to the Registro Mercantil of the jurisdiction, which registers it and orders publication. The registered document carries the registry's own marks — tomo, número and date — and those are what make it verifiable.
Because registries are jurisdictional, the registering office named on the document is a local one, and two Venezuelan companies may be registered by different mercantile registries.
CA, SA and SRL
The compañía anónima (C.A.) is the characteristic Venezuelan form and is functionally the same as the sociedad anónima; both appear. The sociedad de responsabilidad limitada is less common.
The abbreviation is part of the legal name and C.A. in particular is frequently mistaken by foreign readers for an abbreviation of something else. We keep it with a literal rendering.
Actas de asamblea are where everything happens
Changes of directors, capital and domicile are made by acta de asamblea — a minute of the shareholders' meeting — which is itself registered with the Registro Mercantil. So a Venezuelan company's current state is the founding document plus a sequence of registered actas, not a restated text.
A translation of the constitutive document alone may describe a company whose directors changed years ago. Ask which actas you hold.
RIF, and documents that arrive as photographs
The RIF is the tax identification and appears across corporate documents; it is reproduced exactly.
