The Registrar of Companies, and the takanon

An Israeli company is constituted by takanon (תקנון), the articles of association, and registered with the Registrar of Companies (רשם החברות). The registrar issues a certificate of incorporation and maintains a public extract showing directors, shareholders and charges.

Israel abolished the memorandum of association in the 1999 Companies Law, so companies formed before and after that hold structurally different founding documents — an older company may have both a memorandum and articles where a newer one has only a takanon.

The company number, and what it encodes

An Israeli company number is a nine-digit identifier beginning with 51 for a private company, which is how a reader can tell the entity type from the number alone. It is reproduced digit for digit and is what a counterparty uses to verify in the registrar's public database.

Nonprofits (amuta) carry numbers beginning 58 and are registered with a separate registrar entirely, which is a distinction a foreign reader would otherwise miss.

Authorised signatories

Israeli practice relies on an authorised signatories resolution — a board resolution, frequently certified by a lawyer, stating precisely who may sign and in what combination, with a stamp requirement. A counterparty verifying authority reads that document rather than the articles.

It carries a date and is treated as stale after a period, so a current one is ordered rather than reusing an old copy.

Hebrew, and two calendars

Hebrew is written right to left and without most vowels, so a company or director name transliterates several ways from one spelling. We follow the passport where one exists and note genuine differences.

Documents frequently carry the Hebrew calendar date alongside the Gregorian, and the Hebrew year does not align — its new year falls in autumn — so each is converted individually. See our Hebrew page.
