The enterprise registration certificate
A Vietnamese company is evidenced by its Enterprise Registration Certificate (giấy chứng nhận đăng ký doanh nghiệp), issued by the provincial Department of Planning and Investment, which carries the enterprise code — a number that doubles as the tax code.
The điều lệ, the company charter, is a separate internal document. An office asking for "the articles" frequently means the certificate, and sending the charter instead costs a round trip.
The legal representative, and there may be more than one
Vietnamese law designates a legal representative whose name is on the certificate and who binds the company — and since the 2014 Enterprise Law a company may have more than one, with the charter allocating their powers.
A counterparty therefore has to read both the certificate and the charter to know who may sign for what, and the translation keeps that distinction rather than describing anyone as simply "the director".
Investment registration for foreign-owned companies
A foreign-invested company additionally holds an Investment Registration Certificate, which is a separate instrument from the enterprise registration and states the project, the capital and the timeline. Both are normally required abroad and only one is usually sent.
Business lines are stated by code against the Vietnamese classification, and the codes are reproduced exactly because they determine what the company may lawfully do.
Diacritics, and the company seal
