GEMI, and the notarial question
A Greek company is registered with GEMI, the General Commercial Registry, and whether a notary is involved depends on the form: an anonymi etaireia (AE) or EPE traditionally required a notarial deed, while the IKE — the private capital company introduced in 2012 — can be formed by private document through the one-stop service.
The GEMI certificate is what a foreign counterparty normally needs, and it shows the current directors, the capital and the representation.
AE, EPE and IKE
The anonymi etaireia is the joint-stock form, the etaireia periorismenis efthynis the limited liability one, and the IKE a flexible modern form with a one-euro minimum capital that has become the default for new small companies.
The Greek designation is part of the legal name and none maps onto a US entity. We keep the Greek with a literal rendering.
The Government Gazette, and older files
Company formations and amendments were historically published in the Government Gazette (ΦΕΚ), and older Greek corporate files consist of a sequence of gazette issues. GEMI took over that function, so a company's history may span both systems.
A file containing gazette pages is complete rather than irregular, and those pages are translated with the rest.
Transliteration, and the AFM
Greek transliterates several ways and the official system does not always match what a company has used commercially abroad, so a name may appear in three forms across a file. We reproduce each and note the variation.
The AFM is the tax identification number and appears on corporate documents alongside the GEMI number; both are reproduced exactly. See our Greek page.
