The Trade Registry and the constitutive act
A Romanian company is constituted by act constitutiv and registered with the Oficiul Național al Registrului Comerțului (ONRC). Registration produces a certificat de înregistrare carrying the unique registration code, and a certificat constatator — the certifying extract — is what a counterparty normally needs.
The certificat constatator states the current administrators, the declared activities and the authorised premises, and it carries a validity period.
CUI and the registry number
A Romanian company carries the CUI — cod unic de înregistrare — and a separate trade registry number in the format J40/1234/2020, which encodes the county, a serial and the year of registration. A reader who knows the format can date the company from the number.
Both are reproduced exactly, and the county letter matters: J40 is Bucharest.
SRL, SA and the activity codes
The societate cu răspundere limitată (SRL) is the dominant form and the societate pe acțiuni (SA) the joint-stock one. Declared activities are stated by CAEN code, and what the company may lawfully do follows from the codes rather than from the narrative description.
The codes are reproduced exactly rather than paraphrased into an English description of the business.
