FUNDEMPRESA, then SEPREC
For two decades the Bolivian commercial register was run under concession by FUNDEMPRESA, a private foundation, and in 2022 the function passed to SEPREC, the Servicio Plurinacional de Registro de Comercio. Documents therefore name one body or the other depending on when they were issued, and a certificate from FUNDEMPRESA is not out of date — it is the register as it then was.
We name the issuing body as printed rather than modernising it, because a US reader checking the current registry and finding a different name needs to understand why.
Matrícula de comercio and NIT
A Bolivian company holds a matrícula de comercio — the commercial registration number — and a NIT from the Servicio de Impuestos Nacionales. They are different numbers issued by different bodies and a foreign office asking for "the company number" usually wants the matrícula.
Both are reproduced exactly. The matrícula must be renewed annually, so a certificate states a period of validity.
The escritura de constitución
The company is constituted by escritura pública before a notary and then registered. What you hold is normally a testimonio — a notarial issue of the deed — rather than the protocol original, and we say which on the certification.
The deed states the objeto social, the capital and the powers of the representative, and those clauses are translated in full rather than summarised.
S.R.L., S.A. and the representative
The sociedad de responsabilidad limitada and the sociedad anónima are the usual forms, and the abbreviation is part of the legal name. Neither maps onto a US entity and we keep the Spanish.
Authority to bind is evidenced by a poder — a notarial power of attorney — rather than by the deed alone, and a counterparty verifying signature reads that. See our Spanish page.
