A register, and an authorisation before it
Cuban entities are entered in the Registro Mercantil kept by the Ministry of Justice, but registration is the last step rather than the first: a Cuban company generally exists because a state body authorised it, and the authorising resolution is part of the file.
That means a Cuban corporate packet contains instruments a US reader will not expect — ministerial resolutions, acuerdos of the Council of State or a ministry — and those are translated with the rest rather than treated as background.
State enterprises, mipymes and foreign investment
The empresa estatal is the traditional form. Since 2021 Cuba has authorised mipymes — micro, small and medium private enterprises — constituted as sociedades de responsabilidad limitada, which is genuinely new and is why recent Cuban corporate documents look unlike older ones.
Foreign participation runs through Law 118 of 2014 in three shapes: the joint venture (empresa mixta), the international economic association contract, and the wholly foreign-capital company. Each is evidenced differently.
Currency on the face of the document
Cuba has operated more than one currency and more than one official rate within living memory, and capital figures on Cuban documents are stated in whatever unit applied when the document was drawn. We reproduce the unit as printed and do not convert to dollars.
A reader converting a 2015 CUC figure at a later rate gets a meaningless number, so the translation leaves the arithmetic to whoever knows which rate applies.
Legalisation rather than apostille
Cuba is not a party to the Hague Apostille Convention, so a Cuban document for use in the United States is legalised through the chain — Cuban ministry, then the consulate — rather than apostilled. Those stamps are pages of the packet and we translate them.

Do you convert the capital to dollars?
No. We reproduce the currency as printed. Converting a figure at the wrong rate produces a meaningless number.
