The chambers of commerce keep the register
Honduras is unusual in Latin America: the Registro Mercantil is operated by the chambers of commerce and industry under delegation, so a Honduran company is registered with the chamber of its department rather than with a national state registry.
A certificate therefore bears the name of a chamber — Tegucigalpa, San Pedro Sula, Cortés — which a foreign reader can mistake for a trade-body membership card. It is the register, and we make that plain rather than translating the chamber's name into something official-sounding.
Comerciante individual and comerciante social
Honduran commercial law distinguishes the comerciante individual, a registered sole trader with no separate legal personality, from the comerciante social, a company. A counterparty assuming they are dealing with a limited company when the registration is individual is assuming wrongly.
The sociedad anónima and sociedad de responsabilidad limitada are the company forms, and the abbreviation is part of the legal name.
RTN, and the annual renewal
The RTN — Registro Tributario Nacional — is the tax number and appears on corporate documents alongside the registry inscription. Both are reproduced exactly.
Registration and the operating permit are renewed periodically, so a certificate states a period. An old one proves what was true then, which is sometimes exactly what is needed and sometimes not what the office asked for.
The escritura, and the powers clause
The company is constituted by escritura pública before a notary, and what you hold is a testimonio. The deed states the objeto social and the powers of the administrator, and those clauses are translated in full.
