The Registro Público de Comercio
A Paraguayan company is constituted by escritura pública and inscribed in the Registro Público de Comercio, which sits within the Dirección General de los Registros Públicos under the judiciary. Registration of the company and registration of its representatives are separate acts with separate entries.
The inscription details are stamped on the testimonio, and we transcribe them rather than writing "duly registered".
SAS, and why recent files are thin
Paraguay introduced the sociedad por acciones simplificada in 2019, formable electronically and without a notarial deed for a straightforward company. A SAS file is therefore much thinner than an S.A. file and contains a constitutive document rather than an escritura.
The sociedad anónima and sociedad de responsabilidad limitada remain, and the designation is part of the legal name.
RUC, and publication
The RUC from the Subsecretaría de Estado de Tributación is the tax number; the registry inscription is separate. Both are reproduced exactly.
Formation and certain amendments are published in a newspaper, and older corporate files contain the published notice as evidence. That page is translated with the rest.
Guaraní, and the capital figure
Paraguay is genuinely bilingual and Guaraní appears on official material, though corporate deeds are in Spanish. Where a document carries Guaraní we translate it rather than skipping it.
