The Registro de Comercio, and a balance sheet
A Salvadoran company is constituted by escritura de constitución and registered in the Registro de Comercio, part of the Centro Nacional de Registros. Salvadoran practice requires an initial balance sheet certified by an auditor to be filed with the formation, which is a document US readers do not expect to find in a corporate packet.
That balance sheet is part of the constitutive record and is translated with the deed rather than set aside as an accounting annex.
Matrícula de empresa, renewed
The company holds a matrícula de empresa y establecimiento — the commercial establishment registration — which is renewed annually and states a validity period. It is a different document from the inscription of the deed and from the tax registrations.
A counterparty asking whether the company is current is asking about the matrícula, and an expired one is what usually prompts the question.
NIT and NRC
Salvadoran companies carry a NIT and, if VAT-registered, an NRC — the número de registro de contribuyente. Two tax identifiers frequently conflated by foreign readers, and each is reproduced as labelled.
El Salvador has moved toward using the DUI number as the NIT for individuals, so an older document and a newer one may identify the same person differently. We reproduce each as printed.
Dollars, and the auditor
El Salvador uses the US dollar, so capital figures on Salvadoran documents need no conversion — a rare convenience. Older documents state colones, and we reproduce the unit as printed rather than converting.
