Registro Nacional de Comercio, and AIN
A Uruguayan sociedad anónima is constituted by deed, approved by the Auditoría Interna de la Nación, published, and then inscribed in the Registro Nacional de Comercio. The AIN approval is a step with no US parallel and its absence means the company is not properly formed.
That sequence is why Uruguayan corporate files contain an approval resolution and a newspaper page alongside the deed.
SAS, and the shelf company market
Uruguay introduced the sociedad por acciones simplificada in 2019, formable quickly and without the AIN route, and it displaced much of what the S.A. was used for.
Uruguay also has an established market in sociedades anónimas formed in advance and sold ready-made, so a company's founding deed may name founders who have nothing to do with the current owners. That is ordinary here and the translation does not editorialise about it.
RUT, BPS and the bearer share register
The RUT is the DGI taxpayer number; companies also register with BPS for social security. Both numbers appear on corporate documents and are reproduced as labelled.
Holders of bearer shares must be declared to a register kept by the Banco Central del Uruguay, and the certificate of compliance with that obligation is frequently part of a corporate packet sent abroad.
The representative, and the deed
Authority is evidenced by a registered poder or by the directory's appointment inscribed in the registry, not by the founding deed. A counterparty verifying signature reads the current inscription.
