The Superintendencia, and two registrations
An Ecuadorian company is constituted by escritura pública, approved by the Superintendencia de Compañías, Valores y Seguros, and then inscribed in the Registro Mercantil of the canton. Three steps, and a deed that has not completed all three does not yet give you a company.
The Superintendencia publishes company data online, so a counterparty can verify against the register — which is a reason to reproduce the numbers exactly rather than tidying them.
The nombramiento expires
Authority to represent an Ecuadorian company is evidenced by the nombramiento de representante legal, a registered appointment document with a stated term — commonly five years, sometimes shorter — and it is the single document a counterparty actually reads.
An expired nombramiento evidences nothing, and it is the commonest reason an Ecuadorian corporate packet is rejected abroad. Check the term before ordering the translation.
SAS, and the forms before it
The sociedad por acciones simplificada was introduced in 2020 and can be formed without a notarial deed, which is why a recent Ecuadorian company may have a much thinner file than an older one. The compañía limitada and sociedad anónima remain.
The abbreviation is part of the legal name and none maps onto a US entity, so we keep the Spanish with a literal rendering.
RUC, and the surname question
The RUC is the taxpayer number and for a company it is the thirteen-digit identifier ending 001. It appears alongside the expediente number from the Superintendencia, and the two are different things.
Ecuadorians carry two surnames, paternal then maternal, so a representative indexed abroad under the last word on the page is indexed under their mother's name. We keep both and make the order explicit. See our Spanish page.
