SECP, and the two constitutive documents

A Pakistani company is constituted by a Memorandum of Association and Articles of Association filed with the SECP, the Securities and Exchange Commission of Pakistan, which issues the certificate of incorporation. As in India, the memorandum states the objects and the articles govern internal management, and an office asking for "the articles" frequently needs both.

The objects clause matters substantively: an act outside it can be challenged, so it is translated in full rather than summarised.

Private limited, single member and the suffix

The private limited company is the dominant form, with a single member company variant permitted, and public limited companies both listed and unlisted. The suffix — (Pvt) Limited, (SMC-Pvt) Limited, Limited — is part of the legal name and carries the form.

None maps onto a US entity, and the Pakistani designation is kept rather than converted.

NTN, incorporation number and Form A

The company carries an incorporation number from the SECP and an NTN, the national tax number, and the two are frequently confused by foreign readers. Both are reproduced exactly.

Annual returns and changes of directors are filed on numbered SECP forms, and those filings — rather than a restated text — are what evidence the company's current state. Ask which you hold before ordering.

English, Urdu and attestation

Pakistani corporate documents are largely in English, so a translation may not be needed at all — ask the office before ordering. Where a document carries Urdu, the Urdu still needs translating.
