The notarial deed and ministerial approval
An Indonesian perseroan terbatas (PT) is constituted by akta pendirian executed before a notary and then approved by the Ministry of Law and Human Rights, which issues an SK — a decree — without which the company has no legal personality. Two documents, and the deed alone does not establish the company.
Subsequent changes are likewise made by notarial deed and either approved or merely notified to the ministry depending on what changed, so the current state is the founding deed plus a sequence of later ones.
Foreign ownership is on the face of it
Indonesia restricts foreign equity in many activities, and a foreign-invested company is a PT PMA — a distinct status with its own approvals. The deed and the business identification number carry the activity codes (KBLI) that determine what the company may lawfully do and at what ownership level.
Those codes are reproduced exactly rather than described, because the permitted ownership follows from the code and not from the narrative description of the business.
NIB, and the numbers that replaced others
The NIB — Nomor Induk Berusaha — is the business identification number issued through the OSS system, and it absorbed several older licences. Companies also carry an NPWP tax number.
Older documents reference licences that no longer exist as separate instruments, which dates the document rather than invalidating it.
Names, and the Indonesian language requirement
Indonesian corporate documents are in Indonesian, and the law requires the deed itself to be in Indonesian even where the parties are foreign — a bilingual version may exist but the Indonesian text governs.
