The Cámara de Comercio and the Registro Mercantil
A Dominican company is constituted by estatutos sociales and registered in the Registro Mercantil held by the Cámara de Comercio y Producción of the jurisdiction, which issues the certificado de registro mercantil — the document a foreign counterparty normally needs.
That certificate carries a validity period and is refused when stale, which no translation repairs. It is renewed periodically rather than issued once.
SRL, SA and EIRL
The sociedad de responsabilidad limitada (SRL) is the dominant form since the 2008 companies law; the sociedad anónima exists in simplified and ordinary variants, and the EIRL is a single-owner limited liability enterprise that is not a company in the same sense.
The designation is part of the legal name and none maps onto a US entity.
The RNC and who may bind
The RNC — Registro Nacional del Contribuyente — is the taxpayer number and appears on corporate documents alongside the mercantile registry number. The two are distinct and both are reproduced exactly.
The gerente of an SRL or the president of an SA binds the company, and the statutes state any limit on that. A counterparty relying on a signature above a stated limit is relying on nothing.
Assemblies, and two surnames
Changes are made by acta de asamblea registered with the Cámara de Comercio, so the current state is the statutes plus the registered assemblies. Ask which you hold before ordering.
