GAFI, and the commercial register
An Egyptian company is established through GAFI, the General Authority for Investment and Free Zones, which operates the one-stop shop for incorporation, and is entered in the commercial register (al-sijill al-tijari). The register extract is what a foreign counterparty normally needs, and it carries a commercial register number distinct from the tax card number.
Egyptian corporate documents are in Arabic, and the register extract in particular is dense with abbreviations and handwritten annotations from successive amendments.
The forms, and what the abbreviation means
The joint stock company (sharika musahima), the limited liability company (sharika dhat mas'uliya mahduda) and the one-person company are the usual forms, and the designation is part of the legal name. Egyptian LLCs historically could not conduct certain regulated activities, so the form on the document limits what the company may lawfully do.
None maps onto a US entity, and we keep the Arabic designation with a literal rendering rather than converting it.
The manager, and who signs
The statutes name the manager or the board and state the authority granted, including any monetary ceiling and whether signature is joint or several. A counterparty accepting a signature above the stated ceiling is accepting nothing, and the clause is translated precisely rather than as "authorised to bind".
A company seal is commonly affixed alongside the signature, and where a document carries one we describe it and translate its text.
Arabic, numerals and the tax card
Eastern Arabic numerals are given in Western digits so the capital figures, dates and register numbers are usable. Hijri dates appearing alongside Gregorian ones are converted individually.
