Two routes, two kinds of document
Chile runs two parallel systems. The traditional route is escritura pública before a notary, an extract published in the Diario Oficial and inscribed in the Registro de Comercio. The Empresa en un Día route registers the company electronically in the Registro de Empresas y Sociedades with no notarial deed at all.
So a Chilean company may hold a notarial deed and a Diario Oficial page, or an electronic certificate and nothing else. Both are regular, and an office expecting a deed from a company formed the second way is expecting something that does not exist.
SpA, SA and Ltda
The sociedad por acciones (SpA) has become the dominant form for new Chilean companies, permitting a single shareholder and flexible governance. The sociedad anónima and the sociedad de responsabilidad limitada remain common in older files.
The designation is part of the legal name and none maps onto a US entity. We keep the Spanish with a literal rendering.
Vigencia, and documents issued for a purpose
A certificado de vigencia states that the company is current, and a certificado de estatutos actualizados gives the articles as amended. Both carry a validity period and a stale one is refused.
Chilean certificates are also issued for a stated purpose, and one issued for a different purpose can be rejected on that ground alone — which is a refusal no translation prevents. Ask the office what it wants named.
RUT, and both surnames
The RUT identifies the company and every individual named, and it is the number a counterparty uses to verify independently. It is reproduced exactly, check digit included.
