The Companies Registration Office
An Iranian company is registered with the Companies Registration Office of the State Organization for Registration of Deeds and Properties, which issues the registration certificate (agahi-ye ta'sis) and records subsequent changes.
The asasnameh is the articles and the shirkatnameh the partnership deed for certain forms; they are different documents and an office asking for "the articles" means the asasnameh.
The Official Gazette is where it takes effect
Iranian corporate changes — new directors, a change of address, an amendment to the articles — are published in the Rooznameh Rasmi, the Official Gazette, and the published notice is the operative evidence. An Iranian corporate file is therefore largely a stack of gazette notices.
Those notices are translated with the rest rather than treated as clippings, because they are what proves the current state.
National ID for legal entities
Iranian companies carry a shenase melli — an eleven-digit national identifier for legal entities — alongside the registration number and an economic code. Three numbers, routinely conflated, each reproduced as labelled.
The sherkat ba mas'uliyat-e mahdud is the limited liability form and the sherkat-e sahami-ye khass the private joint-stock one, and the designation is part of the legal name.
Solar Hijri dates, and what we do not advise on
Iranian documents are dated in the Solar Hijri calendar, whose year starts at the spring equinox, so 1402 spans parts of 2023 and 2024. Each date is converted individually and both are shown.
