APR, and the register online
A Serbian company is registered with the Business Registers Agency (APR), which issues a decision on registration (rešenje) and publishes the register online. The extract shows the director, the capital, the activity code and the shareholders.
Registration in Serbia is a single administrative act rather than a court entry, which is why a Serbian file contains a rešenje where a Croatian or Slovenian one contains a court register extract.
Matični broj and PIB
A Serbian company carries a matični broj — the eight-digit company identification number — and a PIB, the nine-digit tax identification number. Two numbers, consistently confused by foreign readers, each reproduced as labelled.
The activity is stated by šifra delatnosti, a classification code, and what the company may do follows from the code rather than the narrative description.
Two alphabets, one language
Serbian is written in both Cyrillic and Latin, and both are official — so a company's name may appear in Cyrillic on its registration and in Latin on its invoices, and those are the same name, not two.
We say so explicitly, because a US reader comparing a Cyrillic certificate against a Latin contract concludes the names do not match when they do.
d.o.o., and the founding act
The društvo s ograničenom odgovornošću (d.o.o.) is the dominant form and a.d. the joint-stock one. The abbreviation is part of the legal name.
