RJSC, and the Companies Act 1994
A Bangladeshi company is incorporated by Memorandum and Articles of Association filed with the RJSC — the Registrar of Joint Stock Companies and Firms — under the Companies Act 1994. Two constitutive documents, and an office asking for "the articles" usually needs both.
The objects clause sits in the memorandum and is translated in full rather than summarised, because an act outside it can be challenged.
The schedule forms
Changes of directors, share allotments and the registered office are filed on numbered schedule forms — Form XII for directors, Form X and the annual Schedule X return for shares — and those filings, rather than a restated text, are what evidence the company's current state.
A foreign counterparty asking who the directors are should be sent the current Form XII, not the 1998 memorandum.
Trade licence, TIN and BIN
Operating requires a trade licence from the city corporation or union parishad, renewed annually, which is a different document from the incorporation certificate. The company also holds a TIN and, if VAT-registered, a BIN.
Four documents with four numbers, and a packet sent abroad is usually missing one of them. Each is reproduced as labelled.
English, Bangla and the Bangla calendar
Bangladeshi corporate documents are largely in English, so a translation may not be needed at all — ask the office first, because we would rather you kept the money.
