The statut and the unified register
A Ukrainian company is constituted by statut (статут) and entered in the unified state register of legal entities, from which an extract (vytiah) evidences the company's current state — directors, participants, capital and declared activities.
Ukraine also allows companies to operate under a model statute rather than a bespoke one, in which case no individual charter document exists to translate and the register entry is the whole of it. That surprises foreign readers asking for "the articles".
The EDRPOU code
The EDRPOU code is the eight-digit identifier of a Ukrainian legal entity and appears on essentially every corporate document. It is what a counterparty uses to verify the company in the open register, and it is reproduced digit for digit.
Individuals carry a separate taxpayer number, and the two are occasionally confused on documents naming both.
TOV and AT
The tovarystvo z obmezhenoyu vidpovidalnistyu (ТОВ) is the limited liability company and the commonest form; aktsionerne tovarystvo (АТ) is the joint-stock form. The designation is part of the legal name and neither is a US entity.
Documents from before 1991 and some after are in Russian rather than Ukrainian, and both are ordinary — we translate either and say which language the document is in.
Obtaining documents now
Ukrainian registry data remained accessible online through the war, but certified extracts and archival corporate records can take an indefinite period to obtain, and records held in occupied territory may not be retrievable at all.
