The minuta, the escritura and SUNARP
A Peruvian company begins with a minuta drafted and endorsed by a lawyer, is raised to escritura pública before a notary, and is then inscribed in the Registros Públicos administered by SUNARP. Three documents, three stages, and an office asking for "the incorporation documents" may mean any of them.
What evidences the company afterwards is the partida registral or a vigencia de poder — a certificate of the currency of a representative's powers, which is what a counterparty actually asks for and which expires.
SA, SAC and SRL
The sociedad anónima cerrada (SAC) is the dominant Peruvian form for closely held companies, distinct from the ordinary SA in that it caps the number of shareholders and may dispense with a board. The SRL divides capital into participaciones.
None is a US form and the abbreviation is part of the legal name. We keep it with a literal rendering rather than converting it.
Vigencia de poder, and why it expires
The vigencia de poder states that a named representative currently holds specified powers, and it is issued with a short validity — commonly thirty days — precisely because powers can be revoked. A foreign office receiving a stale one will refuse it, and no translation repairs that.
