The acta constitutiva is a notarial deed

A Mexican company comes into existence by escritura pública executed before a notario público, who drafts the instrument, enters it in his protocol and issues certified copies. The acta constitutiva contains the bylaws rather than being separate from them — which is why a Mexican company holds one document where a US company holds two, and why an office asking for "articles and bylaws" is sent a single deed.

It is then inscribed in the Registro Público de Comercio, which assigns the folio mercantil electrónico, the entry number a foreign counterparty uses to verify the company. The folio, the deed number and the notary's number and district are reproduced exactly.

SA de CV and S de RL de CV

The two common forms are the sociedad anónima and the sociedad de responsabilidad limitada, and the trailing de CV means de capital variable — a capital regime that lets the company vary its capital without amending the deed. It is not part of the name in the way Inc. is, and a company may be an SA without it.

Neither maps onto a US form. An SA is not a corporation and an S de RL is not an LLC: they differ on minimum capital, on whether what is transferred is acciones or participaciones, and on governance. We keep the Spanish form and its abbreviation with a literal rendering.

The three powers, and who may sign

The deed names the administrators and the powers granted to them in the Mexican formula: para pleitos y cobranzas (litigation and collections), para actos de administración (acts of administration) and para actos de dominio (acts of ownership). Those three categories define what a representative may do and they have no US counterpart.

A counterparty verifying signing authority is reading exactly that clause. Rendering it as "full authority to bind the company" collapses a distinction that decides whether a signature on a property sale is valid, so it is translated as written. See powers of attorney.

Amendments, and the RFC that is not in the deed

Every change — capital, corporate purpose, administrators, name — is made by further notarial deed and inscribed, so the current constitution is the founding deed plus each subsequent escritura. A translation of the original alone may describe a company that no longer exists in that form, and asking which deeds you hold before ordering saves translating a superseded text.

The RFC is the tax registration, a separate document from the deed, as is the constancia de situación fiscal. Foreign offices routinely ask for the RFC and are sent the deed instead.
