Atto costitutivo and statuto are one instrument
An Italian company is formed by atto costitutivo before a notaio, with the statuto annexed — the act constitutes and the statute governs, and they travel together as one instrument filed with the Registro delle Imprese held by the chamber of commerce.
The notarial repertorio and raccolta numbers identify the deed in the notary's own records and are reproduced exactly; they are how the instrument is located if anyone needs to verify it.
The visura is what offices actually want
The visura camerale is the register extract showing the company's current state — form, capital, registered office, administrators and their powers — and it is what a foreign counterparty normally needs rather than the founding deed, which shows only how the company began.
A visura storica shows the history of changes as well, and is the one to order where the point is to establish what the company used to be or when something changed.
SpA, Srl and SrlS
The società per azioni and the società a responsabilità limitata differ on minimum capital and governance, and the SrlS — semplificata — is an Srl variant with a standard-form statute that cannot be modified and a capital floor of one euro.
The suffix is part of the legal name and none of the three is a US form, so we keep the Italian with a literal rendering.
Poteri, and two tax numbers that look alike
The visura states each administrator's poteri — which acts they may perform and any monetary limit — and that clause is translated precisely rather than summarised, because it is what a counterparty relies on when accepting a signature.
